1. Agreement & Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the Corvexa AI Lead Conversion service. By creating an account, activating a license, or otherwise using the Service, you accept these Terms. If you are entering into these Terms on behalf of a company, you confirm that you have authority to bind that company.

2. Definitions

In these Terms, the following definitions apply:

• “Service”: Corvexa AI Lead Conversion software and related hosting, APIs, plugins, dashboard, and integrations.
• “Account”: A registered user or tenant that manages one or more deployments and license keys.
• “License Key”: The unique key provided to activate the Service for a given domain.
• “Tokens”: Units used to measure usage of the AI system under your plan.
• “Visitor”: A person who interacts with the Corvexa widget on a website where the Service is deployed.
• “Lead”: Contact and context information captured from a Visitor through a conversation with the Service.

3. License Grant & Restrictions

Subject to these Terms and payment of applicable fees, Corvexa grants you a limited, non-exclusive, non-transferable license to use the Service for the domains specified by your license key. You must not reverse engineer, resell without authorisation, or misuse the Service, and you must not use it to send unlawful or misleading communications.

4. License Activation & Token Usage

License activation occurs when a valid license key is entered and verified during setup. One license key is generally tied to a single domain. When the token limits of your plan are reached, functionality may be restricted until the next billing cycle or until you upgrade.

5. Free Trial

We may offer a free trial that does not require a credit card to start. During the trial, Leads captured by the Service are stored securely, but identifying details are displayed in obscured (blurred) form in your dashboard. When you upgrade to a paid plan, previously captured Lead details are unlocked retroactively. Trials are limited in duration and usage, and we may modify or withdraw trial offers at any time.

6. Onboarding & Configuration

During early access, all plans include guided onboarding, which may cover a one-to-one setup meeting, a review of your website, and configuration of intent settings for your business. You are responsible for reviewing your configuration before going live, including the pages where the Service should or should not engage and any topics it should avoid.

7. Fees, Billing & Refunds

Paid plans are billed as recurring subscriptions through our payment provider, Razorpay. Fees are exclusive of applicable taxes unless stated otherwise. Refunds, where applicable, are handled according to our Refund Policy. Non-payment may result in suspension of the Service.

8. Owner Responsibilities

Site owners must ensure that uploaded knowledgebase content, PDFs, and added Q&A do not violate laws or infringe third-party rights. Owners control which pages and content are included in the Service. As the operator of your own website, you are responsible for providing your visitors with an appropriate privacy notice covering the use of the Service, and for using captured Lead data in compliance with applicable laws.

9. AI Transparency & Acceptable Use

The Service always identifies itself to Visitors as an AI assistant. Intent detection is based on what Visitors actively select or type in the conversation; the Service does not rely on covert behavioral monitoring. You must not configure the Service to impersonate a human, make claims you know to be false, or collect data from Visitors for unlawful purposes.

10. Third-Party Integrations

The Service may connect to third-party platforms you choose, such as CRM, email, scheduling, and messaging tools. Use of those integrations is subject to the terms of the relevant third parties, and you are responsible for authorising those connections.

11. Support, Updates & Maintenance

Corvexa may provide updates, maintenance, and support. The Service may be temporarily unavailable due to maintenance or unforeseen circumstances. We will make reasonable efforts to minimise disruption.

12. Suspension & Termination

We may suspend or terminate accounts for breach of these Terms or non-payment. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless stated otherwise in the Refund Policy.

13. Intellectual Property

All intellectual property rights in the Service remain with Corvexa. Site owners retain ownership of the content they upload and of the Leads captured on their own websites.

14. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. AI-GENERATED RESPONSES MAY CONTAIN ERRORS AND SHOULD NOT BE TREATED AS PROFESSIONAL ADVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVEXA’S TOTAL LIABILITY IS LIMITED TO THE AMOUNTS PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Courts at the Company’s registered place of business shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your jurisdiction.

16. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will update the dates at the top of this page and notify registered customers via dashboard alerts or email.
